ARTICLES OF INCORPORATION

of the

Bangladesh Development Research Center Inc.

(As executed by the incorporator on January 05, 2007, and
including amendments by the Board of Directors on March 02, 2007.)
Article 1
    The name of this corporation is: Bangladesh Development Research Center Inc.

Article 2
    The corporation is to have no members. The directors of the corporation shall be appointed by
    current directors.

Article 3
    Section 1. Purpose of Corporation
    This corporation is organized and operated exclusively for scientific purposes within the meaning
    of Section 501(c)(3) of the Internal Revenue Code. This Corporation shall be a nonprofit
    corporation. The specific purposes for which this corporation is organized are:  To undertake and
    disseminate research on development issues relevant for Bangladesh in order to foster the
    peaceful development of nations.

    Section 2. Limitations on Activities
    No substantial part of the activities of this corporation shall be the carrying on of propaganda, or
    otherwise attempting to influence legislation (except as otherwise provided by Section 501(h) of
    the Internal Revenue Code), and this corporation shall not participate in, or intervene in (including
    the publishing or distribution of statements), any political campaign on behalf of, or in opposition
    to, any candidate for public office.
    Notwithstanding any other provisions of these bylaws, this corporation shall not carry on any
    activities not permitted to be carried on (a) by a corporation exempt from federal income tax under
    Section 501(c)(3) of the Internal Revenue Code, or (b) by a corporation, contributions to which are
    deductible under Section 170(c)(2) of the Internal Revenue Code.

    Section 3. Prohibition against Private Inurement
    No part of the net earnings of this corporation shall inure to the benefit of, or be distributable to, its
    directors or trustees, officers, or other private persons, except that the corporation shall be
    authorized and empowered to pay reasonable compensation for services rendered and to make
    payments and distributions in furtherance of the purposes of this corporation.

    Section 4. Distribution of Assets
    Upon the dissolution of this corporation, its assets remaining after payment, or provision for
    payment, of all debts and liabilities of this corporation shall be distributed for one or more exempt
    purposes within the meaning of Section 501(c)(3) of the Internal Revenue Code or shall be
    distributed to the federal government, or to a state or local government, for a public purpose. Such
    distribution shall be made in accordance with all applicable provisions of the laws of this state.

Article 4
    The name of the corporation’s initial registered agent is Bernhard Gunter. The individual
    registered agent is an initial director of the corporation and a resident of the State of Virginia. The
    corporation’s initial registered office is 2508 Fowler Street, Falls Church, VA 22046. The
    registered office is physically located in the County of Fairfax.

Article 5
    The initial business office is 2508 Fowler Street, Falls Church, VA 22046.

    The initial directors of the corporation are:

Article 7
